1. Acceptance of Terms
By accessing or using Daitalink’s services, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you may not use the services.
2. Modification of Terms
We reserve the right to modify these Terms at any time. Continued use of services after changes are posted constitutes acceptance of those changes.
3. Service Scope and Ownership
Daitalink provides fully managed, strategic services related to performance improvement for both human and AI systems. This includes testing, training, simulation, evaluation, and optimization. Clients do not receive direct access to, or ownership of, any AI models, software, or underlying tools.
All proprietary content, service workflows, AI agents, training materials, and performance engines remain the sole property of Daitalink and are protected under applicable intellectual property laws.
4. User Conduct
Clients agree not to misuse services, disrupt operations, or violate any applicable laws. We reserve the right to suspend or terminate access for violations.
5. Service Classification – Not Software Access
All services are delivered by Daitalink personnel or through proprietary internal systems as part of a managed consulting and performance improvement service. Clients are not granted administrative access to any software or AI system and may not configure, modify, or operate any AI components directly.
As such, services are classified as non-taxable consulting and training services under Texas law and are not software sales, subscriptions, or data processing.
6. Tools & Frameworks
Daitalink uses proprietary tools and agents (such as simulation bots and AI evaluation engines) to deliver performance services. These tools are not resold or licensed to clients. Instead, they are deployed as part of the managed service and remain under Daitalink’s control at all times.
7. Managed Service Model
All work, including AI roleplay, agent scoring, sales/customer service coaching, and chatbot/voicebot testing, is performed by Daitalink. Clients receive outcome-based reports and improvement recommendations, but not access to source tools, code, or agents.
8. AI and Human Performance Services
Our services include:
- AI Oversight: Testing and refining AI chat, voice, and RAG agents through simulated interactions and corpus validation.
- Human Training: Roleplay-based coaching, sales script improvement, and performance audits for support and sales teams.
- Optimization: Ongoing refinement of workflows, training data, and strategies based on real-world usage.
9. Billing & Subscription Terms
All services are billed in advance on a monthly subscription basis. Fee adjustments will be communicated at least 30 days in advance. Late payments may result in suspension of services. Fees are exclusive of taxes unless stated otherwise.
10. Tax Responsibility
Daitalink does not charge sales tax for its services, as they are classified as non-taxable professional services. If a jurisdiction later determines a portion of the services to be taxable, the client is solely responsible for reporting and remitting any applicable taxes.
11. Data Transparency
Clients may receive transcripts, test results, feedback reports, or analysis derived from service delivery. This data is provided for transparency and training purposes, but does not represent software access or ownership.
12. Cancellation & Termination
Either party may cancel service with 30 days’ written notice. Fees are non-refundable once paid. Daitalink may suspend or terminate service for violations of these Terms or non-payment.
13. Limitation of Liability
Daitalink is not liable for indirect, incidental, or consequential damages. Total liability for any claim shall not exceed the service fee paid for the relevant month.
14. No Guarantee of Outcome
While Daitalink commits to performance improvement, we do not guarantee specific business results. Outcomes depend on client cooperation and implementation of our recommendations.
15. Governing Law
These Terms are governed by the laws of the State of Texas, with exclusive jurisdiction in Rockwall County, Texas.

17. AI Audits & Compliance Readiness Services
Daitalink offers one-time and ongoing audit services to assess the performance, accuracy, and risk profile of both AI systems (e.g., chatbots, voice assistants, Retrieval-Augmented Generation systems) and human representatives (e.g., sales, support, and administrative staff). These audits include mystery shopper interactions, corpus evaluations, prompt reviews, and transcript analysis.
Clients may receive outcome-based materials such as:
- Executive summaries of findings
- Risk heat maps
- Draft disclosures and SOPs (for internal or legal review)
- Compliance checklists and readiness documentation (e.g., for TRAIGA)
These services are classified as non-taxable professional consulting, not as software sales, technical audits, or data processing. Daitalink does not provide legal advice. Clients are responsible for engaging their legal counsel to review and approve any draft policy language or compliance materials.
All audit activities and tools remain under Daitalink's control, and no access to underlying AI systems or testing engines is granted.
18. Entire Agreement
These Terms, along with any written service agreements, represent the full agreement between the parties and supersede all prior understandings.
